Terms of Service

You must be at least 16 years old to create your own DenwaysMeet account. If you're between 13 and 16, you may only use DenwaysMeet through an account created and managed by a parent, legal guardian, school, or employer that has accepted these Terms on your behalf and is responsible for your use of the Service. DenwaysMeet is not directed at children under 13, and we don't knowingly collect personal information from anyone under 13.

If your organization is a school or other educational institution: you (the institution) are responsible for obtaining any parental or guardian consent required by law before enrolling a student, and for your own compliance with applicable education-privacy laws (such as FERPA in the United States) for any student data you input into or generate through the Service. We provide the tools; you're responsible for using them in a way that's lawful for your institution and your students.

You're responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away if you suspect unauthorized access.

You keep ownership of whatever you create, upload, or send through DenwaysMeet - messages, files, stickers, recordings of your own voice/video, and anything else ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and display it solely as needed to operate and provide the Service to you and the people you're communicating with (including, where a feature you use requires it, sending it to the third-party AI providers and other subprocessors described in our Privacy Policy).

You're solely responsible for Your Content and for having every right needed to share it - including copyright, trademark, publicity, and privacy rights of anyone else it depicts or references.

Don't use DenwaysMeet to:

• Post or transmit content that's illegal, infringing, defamatory, harassing, or that violates someone else's rights;
• Upload, play, or transmit copyrighted material (including music, via the optional Music Bot feature) that you don't have the rights to use - you're solely responsible for confirming you have the necessary rights or license before playing any audio through that feature, and we may disable it for your organization at any time;
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure, or interfere with the Service's normal operation (including excessive automated use that isn't through a documented integration);
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where applicable law gives you that right despite this restriction; or
• Use the Service to build a directly competing product.

DenwaysMeet offers optional AI-powered features (assistant chat, message translation, meeting summaries/minutes, live captioning, and related tools) that send relevant content - which may include message text, meeting transcripts, or, for some live-captioning configurations, raw audio - to third-party AI providers in order to generate a response. The exact data categories sent to each provider are described in our Privacy Policy. AI-generated output (summaries, translations, transcripts, suggested replies) may be inaccurate or incomplete; you're responsible for reviewing it before relying on it, especially for anything used as an official record.

Some plans include the ability for a meeting host to enable recording or live transcription/captioning of a call. If you host or enable recording or transcription of a meeting, you are responsible for complying with all applicable laws regarding notice to, and consent from, other participants - including any wiretapping, eavesdropping, or two-party/all-party consent laws in your jurisdiction or theirs. DenwaysMeet provides in-call indicators where technically available, but the legal obligation to obtain proper consent before recording or transcribing a conversation is yours, not ours.

Paid plans are billed in advance on a recurring basis (monthly or yearly, as selected at checkout) and automatically renew at the end of each billing period unless you cancel before it renews. Payment is processed by Stripe; we don't store your full card details ourselves.

You can cancel anytime from your organization's billing settings. Cancelling stops future renewal, but you keep access to your current plan's features until the end of the billing period you already paid for - we don't prorate or refund the unused portion of a current period, except where required by law. Fees are otherwise non-refundable.

We may change our pricing on renewal; if we do, we'll give you notice before the new price takes effect on your next billing cycle.

If you believe content on DenwaysMeet infringes your copyright, send a notice to legal@developedbymishab.fun including: (a) identification of the copyrighted work; (b) identification of the infringing material and where it appears; (c) your contact information; (d) a statement that you have a good-faith belief the use isn't authorized; (e) a statement, under penalty of perjury, that the notice is accurate and you're authorized to act for the copyright owner; and (f) your physical or electronic signature. We'll remove or disable access to material we determine, in our judgment, is subject to a valid notice, and will notify the person who posted it, who may submit a counter-notice as provided by law. You can stop using the Service and delete your organization at any time from its settings - this permanently deletes the organization's data from our systems (see the Privacy Policy for what that does and doesn't cover). We may suspend or terminate your access if you materially violate these Terms, and will make reasonable efforts to notify you first except where immediate action is needed (e.g. to prevent harm or abuse).

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the Service will be uninterrupted, error-free, or that AI-generated content will be accurate. Nothing here excludes a warranty that can't be excluded under applicable law.

To the maximum extent permitted by law, [Company Legal Name] won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or [$100 / one month's fees], whichever is greater.

These Terms are governed by the laws of [Governing Jurisdiction - e.g. the State of Delaware, USA], without regard to conflict-of-law principles. [Insert your chosen dispute-resolution mechanism - arbitration clause, venue for litigation, etc. - this should be set by counsel familiar with your actual customer base and jurisdiction.]

We may update these Terms from time to time. If a change is material, we'll give reasonable notice (such as an in-app notice or an email to your account's contact address) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
